Bob assists our team with business transactions, including formation of business entities, acquisition of assets or subsidiaries, and the sale or other disposition of a business. He has negotiated the purchase and sale of businesses, documented business reorganizations and recapitalizations, and advised owners regarding distribution arrangements, franchising, protection of intellectual property, secured transactions, public and private issuance of securities, contracts and other general business matters, including employment issues and shareholder and partner disputes. With a Master of Laws in Taxation, Bob often advises business owners on federal, state and local taxation and has represented clients in disputes with the Internal Revenue Service, the Franchise Tax Board and other taxing authorities. He is admitted to practice law in California and Texas.
